NDIC Invites Expression of Interest from Legal Advisers and Management Consultants for Strategic Organisational Restructuring
1.0 INTRODUCTION
The Nigeria Deposit Insurance Corporation (NDIC) wishes to invite reputable professional and competent Legal Advisers and Management Consultants with good track records of performance and experience of regulatory environment to tender for the Expression of Interest (EOI) to facilitate the strategic organisational restructuring and turnaround programme of the Corporation in line with the NDIC Act 2023 as amended.
2.0 SCOPE OF SERVICES
The Corporation in compliance with the Nigeria Deposit Insurance Corporation Act 2023 as amended is desirous of Strengthening the extant legal and functional framework to accommodate emerging changes and innovations in in banking industry. The aim is to ensure that the Corporation is able to achieve its statutory mandate effectively, in alignment with best global practice to deliver a performance driven culture. The Corporation needs to leverage on the enhanced provisions, as well as harnessing the potentials of the new powers, in the interest of financial system and particularly in the interest of depositors. The scope of the strengthened provisions and key innovations are of sufficient magnitude that it would open new vista for reassessment of the Corporation’s operational arrangement and organisational restructuring in-order to ensure the provisions are effectively and efficiently leveraged.
The implementation of the project will entail the appointment of reputable (a) Management Consultants, and (b ) Legal Advisers (As Technical Advisers on the extant laws)
a) Legal Advisers (Lot 1): To address the legal intricacies of the organizational restructuring and ensure compliance with the NDIC Act 33, 2023 as amended.
b) Management Consultants (Lot 2): To align the Corporation’s financial management practices with the strategic imperatives of the NDIC Act 33, 2023 as amended by advancing operational frameworks and risk management capabilities in line with international requirements and global best practices.
Sound need for thorough understanding of the regulatory environment and relationship with other safety-nets components.
3.0 ELIGIBILITY REQUIREMENT
Interested bidder(s) for the above project are to submit their bids along with the following requirements:
a. Evidence of Certificate of Incorporation with the Corporate Affairs Commission (CAC) including Forms CAC2 and CAC7 (or CAC 1.1). Business Name with Form BN1 is also acceptable for Consultancy Services;
b. Evidence of Company’s Income Tax Clearance Certificate (or Personal Income Tax Clearance Certificates of all the Partners in case of Business Name) for the last three (3) years valid till 31st December, 2024, with minimum average annual turnover of N100 million;
c. Evidence of Pension Clearance Certificate valid till 31st December, 2024 (this requirement is only applicable to bidders whose number of staff is 15 and above);
d. Evidence of Industrial Training Fund (ITF) Compliance Certificate valid till 31st December, 2024 (this requirement is only applicable to bidders whose number of staff is 5 and above or the bidder’s annual turnover is N50m and above);
e. Evidence of Nigeria Social Insurance Trust Fund (NSITF) Clearance Certificate valid till 31st December, 2024;
f. Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR) expiring on 31st December, 2024; or valid Certificate issued by BPP.
g. Sworn Affidavit disclosing whether or not any officer of the relevant committees of the Nigeria Deposit Insurance Corporation or the Bureau of Public Procurement is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
h. Company’s Audited Accounts for the last three (3) years -2021, 2022, 2023;
i.Reference Letter from a reputable Commercial Bank in Nigeria, indicating willingness to provide credit facility for the execution of the project when needed;
j.Verifiable documentary evidence of at least three (3) similar jobs (in size, nature & complexity) executed in the last five (5) years including Letters of Awards, Valuation Certificates, Job Completion Certificates and Photographs of the projects;
k.Detailed Company’s Profile with the Curriculum Vitae of key staff to be deployed for the project, including copies of their Academic/Professional qualifications. Any organisation whose team leader does not have up to fifteen years will not be eligible for shortlisting.
l.All interested professional Consultants must present their certification programme in collaboration with international financial organisations like World Bank, IMF, FDIC, Federal Reserve, IADI, FSCS, CDIC, EFCC, ICPC.
m.All interested professionals to be engaged must specifically demonstrate knowledge on DPAS, Target Funding, MDIC, Arbitration procedure on out of court settlement, Dealing with parties in financial debts, Cross Border lending practices, Public Awareness etc.;
n.For Joint Venture/Partnership, Memorandum of Understanding (MoU) should be provided. Where a bid is submitted by a joint venture (JV) partners each member of the JV must fulfil requirements i to vii under eligibility criteria.
o. All documents for submission must be transmitted with a covering/forwarding letter under the Company/Firm’s Letter Head Paper bearing amongst others, the Registration Number (RC) as issued by the Corporate Affairs Commission (CAC), Contact Address, Telephone Number (preferably GSM nos.) and e-mail address. The Letterhead Paper must bear the Names of the Directors and address of the Company at the bottom of the page, duly signed by the authorised officer of the firm.
4.0 SUBMISSION OF (EOI) DOCUMENTS
Interested firms are to submit three (3) hard copies each of the EOI documents in sealed envelope and clearly marked “Expression of Interest to facilitate strategic organizational restructuring of the Nigeria Deposit Insurance Corporation (NDIC) addressed to:

5.0 OPENING OF EOI DOCUMENTS
The EOI documents will be opened immediately after the deadline for submission 11:00 am Monday, 14th October, 2024, at the Ground Floor, Visitors waiting room at the NDIC Head Office Building in the presence of the bidders or their representatives. Please, ensure that you sign the Bid Submission Register in the Procurement and Management Services Department, 2nd floor, as NDIC will not be held liable for misplaced or wrongly submitted bids. 6.0 GENERAL INFORMATION
i) EOI must be in English Language and signed by an official authorized by the bidder.
ii) EOI submitted after the deadline for submission would be returned un-opened.
iii) All costs will be borne by the bidders.
iv) The EOIs will be opened in the presence of the bidders or their representatives, CSOs in the areas of anti–corruption, Transparency and Private Professional bodies; and will be covered by video recording, invitation link will be sent to bidder who choose to join the EOI’s opening online.
v) Only shortlisted Applicants at EOIs evaluation will be invited at a later date for collection of Request for Proposals.
vi) The Nigeria Deposit Insurance Corporation is not bound to shortlist any Applicant and reserves the right to annul the Procurement process at any time without incurring any liabilities in accordance with Section 28 of the Public Procurement Act, 2007
